1. Parties
These Terms of Service (“Terms”) constitute a legally binding agreement between Vitalii Syrotynskyi, Individual Entrepreneur (Tax ID / RNOKPP: 3573501855), operating under the trade name West Tech (“we,” “us,” or “our”), and the individual or entity purchasing our services (“Client,” “you,” or “your”).
By placing an order or making a payment, you agree to be bound by these Terms.
2. Services
We provide the following digital services:
- Website Design & Development — custom design, development, and launch of websites tailored to your business needs (one-time engagement).
- Maintenance Plan — annual plan covering software updates, uptime monitoring, and priority technical support.
The specific scope, deliverables, and pricing for each project are agreed upon prior to payment.
3. Project Timeline
Website design and development projects are typically completed within up to 4 weeks from the project kickoff date, provided the Client supplies all required materials (content, images, branding assets, feedback) in a timely manner.
Delays caused by the Client’s failure to provide necessary materials or approvals may extend the timeline. We will communicate any changes to the estimated delivery date promptly.
4. Payment
All fees are due prior to the commencement of work unless otherwise agreed in writing. Payments are processed securely through our payment provider. By completing payment, you authorize the applicable charge(s).
For clients subscribed to the Maintenance Plan, the annual fee will be billed automatically on each renewal date.
5. Refund Policy
For the annual Hosting & Maintenance Plan, cancellations take effect at the end of the current billing period. No partial refunds are issued for unused portions of the subscription term.
6. Client Responsibilities
To ensure successful project delivery, the Client agrees to:
- Provide all required content, assets, and access credentials within 5 business days of project kickoff.
- Provide timely feedback and approvals at each project milestone.
- Ensure all supplied materials do not infringe any third-party intellectual property rights.
7. Intellectual Property
Upon receipt of full payment, all custom design and development work created specifically for your project is assigned to you. We retain the right to display the completed work in our portfolio unless you request otherwise in writing.
Third-party assets (fonts, stock images, plugins, frameworks) remain subject to their respective licenses.
8. Limitation of Liability
To the maximum extent permitted by applicable law, our total liability for any claim arising out of or relating to these Terms or our services shall not exceed the total amount paid by you in the three (3) months preceding the claim.
We are not liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits or data.
9. Governing Law
These Terms are governed by the laws of Ukraine. Any disputes shall be resolved through good-faith negotiation. If a resolution cannot be reached, disputes shall be submitted to the competent courts of Ukraine.
10. Changes to These Terms
We may update these Terms from time to time. The updated version will be posted at this URL with a revised effective date. Continued use of our services after any changes constitutes your acceptance of the new Terms.
